General Terms and Conditions of Sale

General clause

By clicking on the "Conditions of sale" icon, the buyer may take note of these general terms and conditions of sale and place an order under these conditions. This shall imply full, unreserved, irrevocable and definitive acceptance by the customer of all the provisions contained in these general terms and conditions of sale.

Product prices

The customer may view the prices of the products at the time that the website is accessed. They are indicated without taxes and are expressed in Euros. They should be increased by the VAT in force, being 20%.

Methods of Ordering

To be eligible, orders must be established using the "Purchase Order" form or a document showing the same information as the form. The order shall be accepted by the buyer as soon as he validates it by clicking on the send button, or when he faxes it or sends it by mail to the above address. The acknowledgement of receipt shall be sent by return email message, by fax or by post and shall constitute the confirmation of the order. The minimum order is 76 Euros excluding taxes.

Withdrawal option

In accordance with Article 6 of the Directive of May 20, 1997 on the protection of consumers in respect of distance contracts and Article L 121-6 of the Consumer Code, the buyer has a period of fourteen days from the delivery of the order to return the product to the seller for an exchange or refund. The cost of returning the purchase shall remain the responsibility of the buyer.

Payment terms

Payment should be made by cheque on ordering (payable to Torpedo — 183, rue Championnet — 75018 PARIS), by credit or debit card directly on the website (via PAYBOX payment platform) or by transfer to our bank account. In the event of payment by cheque on ordering, cheques shall be deposited at the bank only at the time of actual shipment of the products ordered.

Delivery periods

On reception of the order, our standard delivery periods are 24/48 hours in Paris/RP and 48/72 hours elsewhere. These periods are provided for guidance and our company shall not be held liable in case of a delay in the delivery of goods ordered.

Terms of delivery

The reception of goods shall be validated by the buyer signing the delivery slip or the notice of delivery, according to the shipping methods selected by our services (Colissimo, DPD, Chronopost, TNT, courier services, national or international couriers...). The products are deliverable according to the prices indicated on the website, except for shipping costs, at the agreed place, and the carrier shall be chosen by the seller. In case of damage or defect of the products delivered and after recognition on the day of delivery by the customer, in the presence of the carrier, the customer shall immediately inform the TORPEDO Company. In the event that the customer chooses the carrier, the risks inherent for the goods are incumbent on the customer.

Force majeure

All events of any nature whatsoever that are beyond the control of the TORPEDO Company (force majeure, accident, strike, decision by the authorities or stoppage of transport), which may occur and affect the performance of the delivery may not be a cause for cancellation of the order or give rise to the award of damages and interest at the expense of the TORPEDO Company.

Retention of title

Our company shall retain title to the goods sold until full payment of the price in principal, plus shipping, plus VAT.

Guarantees

Our products benefit from a guarantee against hidden defects in accordance with Articles 1641 and 1649 of the Civil Code. The customer's electronic acknowledgement shall serve as his certificate of guarantee. All products benefit from the "satisfaction guaranteed or purchase refunded" clause for a period of 14 days from delivery. However, products must be returned in their original packaging and with a duplicate of the electronic acknowledgement of reception. These products shall then be refunded or exchanged (excluding the cost of returning them, which shall be at the sole expense of the buyer). In the event that the item is exchanged, the customer shall not be invoiced for contributions to the shipping costs.

Limitation of liability

It is the buyer's responsibility to check, under his sole responsibility:

- that these products can be imported and used in the country of consumption and

- that the buyer is in good standing with respect to the tax and customs authorities of his country.

Complaints

On reception of the products, the buyer must check their condition. If an item does not correspond to the product ordered or if its condition does not comply with standards, the buyer must return it immediately by paying the shipping costs, which will be refunded by the TORPEDO Company, provided that it is responsible for the defect or the error.

Information Technology and Individual Freedoms

The data collected within the framework of these general terms and conditions of sale and pursuant to the Law of January 6, 1978, are accessible to the buyer. In addition, the buyer has the right of access and the right to rectify such personal data. Unless expressly opposed by the buyer, the data collected by the TORPEDO Company may be transferred to other companies. Applicable law

The applicable law shall be that of the country in which the offer is made. The commercial relations resulting from these general terms and conditions of sale shall be subject to French law.

Settlement of disputes

Any disputes relating to the interpretation or execution of these general conditions of sale shall be settled definitively, in the absence of an amicable agreement, by the competent courts within the jurisdiction of the head office of the TORPEDO Company.
